These Terms of Service (“Terms”) govern your access to and use of the services provided by Direct Providers Care, LLC (“Direct Providers Care,” “we,” “us,” or “our”), including our website at directproviderscare.com and our telehealth membership platform. By accessing our services or becoming a member, you agree to be bound by these Terms.
1. Description of Services
Direct Providers Care is a membership-based telehealth platform that facilitates access to licensed healthcare providers through secure virtual appointments. We are not an insurance company and do not provide health insurance. Membership does not guarantee any specific clinical outcome. Provider availability is subject to state licensure and clinical appropriateness.
2. Eligibility
- You must be at least 18 years of age to create an account. Members under 18 may receive services only with parental or guardian consent through a family membership.
- You must reside in a state in which Direct Providers Care currently operates. Service availability is subject to change.
- You must provide accurate, complete, and current information during enrollment and maintain the accuracy of that information.
- You may not use our services for any unlawful purpose or in violation of these Terms.
3. Membership and Payment
Membership Plans: We offer individual and family membership plans as described on our pricing page. Plan features and pricing are subject to change with reasonable notice to members.
Billing: Membership fees are billed monthly or annually, as selected at enrollment. By enrolling, you authorize us to charge your payment method on a recurring basis.
FSA/HSA: Membership fees may be eligible for payment through FSA or HSA accounts. Eligibility is determined by your plan administrator; we make no representation as to tax treatment.
HFA Financing: We offer financing through HFA. All credit is approved. Financing terms are governed by your agreement with HFA.
No Refunds: Membership fees are generally non-refundable, except as required by applicable law or as determined at our sole discretion in cases of billing error.
Cancellation: You may cancel your membership at any time by contacting us. Cancellation takes effect at the end of the current billing period. Services remain available until cancellation is effective.
4. Telehealth Services
Services are provided by independent, licensed healthcare providers, not by Direct Providers Care directly. Direct Providers Care operates as a platform connecting members with providers. Providers maintain full clinical autonomy and are solely responsible for clinical decisions. Telehealth services are subject to clinical appropriateness, provider availability, and applicable state law. Not all conditions are appropriate for telehealth management.
5. Prescriptions
Prescriptions may be issued by providers when clinically appropriate and in compliance with applicable law. We do not guarantee that a prescription will be issued at any visit. Prescriptions for controlled substances may be subject to additional restrictions under federal and state law. Prescriptions are sent to your designated pharmacy; we do not dispense medications directly.
6. Member Responsibilities
- Provide accurate and complete health information to your provider
- Attend scheduled appointments or cancel with reasonable advance notice
- Use the platform only for lawful, personal healthcare purposes
- Maintain the confidentiality of your account credentials
- Not share your membership with non-enrolled individuals
- Promptly report any unauthorized use of your account to us
7. Intellectual Property
All content on our website and platform, including text, graphics, logos, and software, is the property of Direct Providers Care or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without our prior written consent.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Direct Providers Care shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services. Our total liability to you for any claim arising from these terms or your use of our services shall not exceed the membership fees paid by you in the three months preceding the claim.
9. Disclaimer of Warranties
Our services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of harmful components. Clinical outcomes are not guaranteed.
10. Indemnification
You agree to indemnify, defend, and hold harmless Direct Providers Care, its officers, directors, employees, and agents from any claim, liability, damage, or expense (including reasonable attorneys’ fees) arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or our services shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Springfield, Illinois, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised effective date and, where appropriate, by direct communication. Continued use of our services after the effective date constitutes acceptance of the revised Terms.
